Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BioNetGain Pro platform ("Platform"), website at bionetgain.pro, and all related services (collectively, the "Service") operated by CoreLogic AI Ltd, registered in England and Wales under company number 16919694, with its registered office at 5 Brayford Square, London E1 0SG ("we", "us", "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

• "Account" — your registered user account on the Platform.
• "BNG" — Biodiversity Net Gain as defined in the Environment Act 2021.
• "Compliance Report" — a BNG Compliance Report produced by the Platform.
• "HMMP" — a Habitat Management and Monitoring Plan (JP058-compliant) produced by the Platform.
• "Submission Pack" — the combined deliverable including the Compliance Report, HMMP, DEFRA metric export, monitoring dashboard, and LPA verification link.
• "Pre-Purchase Assessment" — the £49 indicative BNG risk screening product.
• "Client" or "you" — any individual or legal entity using the Service.
• "Content" — any data, text, images, boundary files, or other materials you upload or provide.

2. Eligibility and Registration

2.1. You must be at least 18 years old and have the legal capacity to enter into a binding contract.

2.2. You agree to provide accurate, current, and complete information during registration and to keep your Account details up to date.

2.3. You are responsible for safeguarding your Account credentials and for all activities under your Account.

3. The Service

3.1. The Platform uses artificial intelligence, satellite imagery (provided by Gentian True Sight), and automated ecological assessment algorithms to produce BNG Submission Packs and Pre-Purchase Assessments.

3.2. The Service is not a substitute for professional ecological advice. While reports are produced to a high standard using Statutory Biodiversity Metric 4.0 and JP058 methodology, the habitat baseline is derived from AI-interpreted satellite imagery — not a ground-truth ecological survey.

3.3. We do not guarantee that any report will be accepted by a Local Planning Authority (LPA). Requirements vary between LPAs, and acceptance decisions are at the sole discretion of the relevant planning officer.

3.4. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

4. Orders and Payment

4.1. All prices are quoted in GBP and are exclusive of VAT (20%) unless otherwise stated.

4.2. Payment is processed securely via Stripe. By placing an order you authorise us to charge the applicable fee.

4.3. Subscription plans are billed monthly in advance. You may cancel at any time; access continues until the end of the current billing period, with no pro-rata refund.

4.4. Pay-per-pack orders are charged at the time of commission based on the site area tier applicable at the date of purchase.

4.5. Vouchers. A £49 voucher is issued with each Pre-Purchase Assessment. Vouchers are valid for 12 months from issue, apply to the named account holder only, cannot be transferred, exchanged for cash, or combined with other vouchers, and are limited to one per Submission Pack order.

5. Refund Policy

5.1. 14-day money-back guarantee. If you are not satisfied with a Submission Pack, you may request a full refund within 14 calendar days of delivery, provided you have not submitted the report to an LPA or otherwise relied upon it.

5.2. Pre-Purchase Assessments are non-refundable once the report has been generated and delivered, except where required by law.

6. Intellectual Property

6.1. All intellectual property in the Platform, including software, branding, and methodology, remains our property or that of our licensors.

6.2. Upon payment, you receive a non-exclusive, non-transferable licence to use the deliverables (Submission Pack or Pre-Purchase Assessment) for the specific development project described in your order. You may share the deliverables with your LPA, professional advisers, and project collaborators.

6.3. You may not resell, redistribute, or white-label the deliverables unless you hold a Team subscription with white-label rights.

7. Your Content and Data

7.1. You retain ownership of Content you upload. By uploading Content you grant us a licence to use it solely for the purpose of delivering the Service (including generating reports and improving our algorithms).

7.2. You represent and warrant that you have the right to upload any Content and that it does not infringe any third party's rights.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to reverse-engineer, decompile, or extract source code from the Platform.
• Use automated tools (bots, scrapers) to access the Platform.
• Upload malicious code, spam, or harmful material.
• Misrepresent the outputs of the Service (e.g. claim they were produced by a human ecologist).
• Interfere with the Platform's infrastructure or other users' access.

9. Affiliate Programme

9.1. Affiliates earn a 20% commission on qualifying paid orders referred via their unique link.

9.2. Self-referrals are prohibited and will be automatically blocked.

9.3. Commission is calculated on the order amount excluding VAT. Payouts are processed monthly upon request, subject to a minimum balance of £25.

9.4. We reserve the right to suspend or terminate affiliate accounts for fraudulent activity, misleading promotion, or violation of these Terms.

10. Limitation of Liability

10.1. To the maximum extent permitted by English law, the Service is provided "as is" and "as available".

10.2. We do not warrant that (a) the Service will be uninterrupted or error-free, (b) the habitat baseline data is 100% accurate, or (c) any report will meet the specific requirements of your LPA.

10.3. Our total aggregate liability under or in connection with these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) £500.

10.4. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, data, goodwill, or planning permission.

10.5. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law.

11. Indemnification

You agree to indemnify and hold harmless CoreLogic AI Ltd, its directors, employees, and agents from any claims, losses, or expenses (including legal fees) arising from (a) your use of the Service, (b) your breach of these Terms, or (c) Content you upload.

12. Termination

12.1. You may close your Account at any time by emailing info@bionetgain.pro.

12.2. We may suspend or terminate your access immediately if you breach these Terms or engage in conduct harmful to us or other users.

12.3. Upon termination, your licence to use any previously purchased deliverables survives, but your access to the Platform (including the monitoring dashboard) will cease.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Platform at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

14. Governing Law and Disputes

14.1. These Terms are governed by and construed in accordance with the laws of England and Wales.

14.2. Any dispute shall first be referred to informal negotiation. If not resolved within 30 days, either party may bring proceedings in the courts of England and Wales.

15. General

• Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between us.
• Severability. If any provision is found unenforceable, the remaining provisions continue in effect.
• Waiver. No waiver of any right shall be effective unless in writing.
• Assignment. You may not assign your rights without our consent. We may assign our rights in connection with a merger or acquisition.
